Terms of Sale
These Terms of Sale govern all contracts for the supply of goods and related services by BN London Ltd to business customers. By placing an order with BN London Ltd, you agree to these Terms of Sale.
1. Business Customers Only
BN London Ltd supplies goods primarily to customers acting in the course of business. Where an applicant opens a trade or business account, the customer confirms that it is not acting as a consumer. If BN London Ltd accepts an order from a consumer, nothing in these Terms of Sale shall exclude any rights which cannot lawfully be excluded.
2. Quotations and Order Acceptance
All quotations, pricing, availability indications, and lead times are subject to change and do not constitute a binding offer. An order shall be binding only when accepted by BN London Ltd in writing, by order acknowledgement, by invoice, or by dispatch of the goods, whichever occurs first.
3. Price and VAT
Unless stated otherwise, prices are exclusive of VAT, delivery charges, insurance, duties, and any other applicable taxes or charges. VAT and any applicable charges will be added at the prevailing rate and shown at checkout, on quotation, or on invoice as appropriate.
4. Payment
Payment terms shall be as stated on the order acknowledgement, pro forma invoice, account record, or invoice. New accounts start on bank transfer or credit card terms. BN London Ltd may, in its discretion, review an account for credit terms after the first 3 completed orders. No credit facility is granted unless expressly confirmed in writing.
All sums due must be paid in full, without set-off, deduction, withholding, or counterclaim except where required by law.
5. Stock, Allocation, and Lead Times
Stock positions and lead times are estimates only unless expressly confirmed in writing as fixed. BN London Ltd may allocate stock between customers, supplier channels, and order dates at its discretion. Supplier delays, logistics issues, customs activity, fraud checks, allocation changes, and operational constraints may affect lead times.
6. Delivery and Dispatch
Delivery dates are estimates only unless expressly agreed otherwise in writing. Orders are normally shipped on the next working day after the established lead time has passed, subject to stock availability, payment clearance, compliance checks, and operational readiness. Delivery may be made in instalments.
7. Risk and Title
Risk in the goods passes to the customer on delivery, collection, or first attempted delivery, whichever occurs first. Legal and beneficial title to the goods shall remain with BN London Ltd until all sums due from the customer to BN London Ltd have been paid in full and cleared.
8. Inspection on Delivery
The customer must inspect the goods promptly on delivery. Any shortage, transit damage, incorrect item, or visible issue must be reported in writing without delay and in accordance with the notification periods stated in our Shipping and Delivery Policy.
9. Cancellations
All sales are final unless BN London Ltd agrees otherwise in writing. Orders may not be cancelled, amended, deferred, or combined once accepted, except at the sole discretion of BN London Ltd.
Goods which have been sourced, specially procured, configured, allocated, cut, opened, personalised, software-activated, back-ordered against supplier commitment, or dispatched are non-cancellable.
For standard stocked goods that have not yet been sourced, allocated, configured, committed to supplier, or dispatched, BN London Ltd may, in its sole discretion, consider a written cancellation request received within 10 days of order acknowledgement. Any agreed cancellation may be subject to administration charges, supplier charges, restocking charges, and recovery of third-party costs.
10. Returns
Returns are governed by our Returns and Refund Policy. No return may be made without prior written authorisation from BN London Ltd.
11. Warranty
Warranty support is governed by our Warranty page and any manufacturer terms which apply to the product supplied.
12. Customer Obligations
The customer is responsible for ensuring that the goods ordered are suitable for its intended use, environment, compatibility requirements, and technical specification. BN London Ltd does not accept liability for incompatibility, installation errors, configuration issues, or misuse where the goods supplied match the customer's order.
13. Late Payment
If any sum is not paid when due, BN London Ltd may suspend performance, withhold deliveries, cancel outstanding orders, revoke any credit facility, require payment in advance, charge interest and recovery costs as permitted by law, and pursue any other remedy available.
14. Limitation of Liability
To the fullest extent permitted by law, BN London Ltd shall not be liable for loss of profit, loss of revenue, loss of business, loss of contracts, loss of anticipated savings, loss of goodwill, loss of data, or any indirect or consequential loss. BN London Ltd's total liability arising out of any contract shall, except where liability cannot lawfully be limited, be limited to the price paid for the relevant goods giving rise to the claim.
15. Export and International Orders
The customer is responsible for ensuring compliance with import requirements, local product rules, destination restrictions, sanctions laws, export controls, duties, taxes, customs charges, and local regulatory obligations unless BN London Ltd expressly agrees otherwise in writing.
16. Force Majeure
BN London Ltd shall not be liable for failure or delay caused by events outside its reasonable control, including supplier failure, logistics delays, strikes, shortages, acts of government, cyber incidents, power failure, weather events, war, sanctions, customs intervention, or force majeure events.
17. Governing Law and Jurisdiction
These Terms of Sale are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction unless mandatory law provides otherwise.
